1. Agreement to Terms

By accessing or using Needlepick ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Needlepick is an AI visibility intelligence platform that:

  • Crawls websites you authorize to analyze content and SEO signals
  • Queries AI models to understand brand visibility in AI-generated responses
  • Provides insights, reports, and competitive intelligence

3. Account Registration

To use the Service, you must create an account with accurate information. You are responsible for:

  • Maintaining the security of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized access

4. Acceptable Use

You agree not to use the Service to:

  • Crawl websites you do not own or have explicit authorization to analyze
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Attempt to circumvent security measures or access restrictions
  • Use automated means to access the Service beyond our provided APIs
  • Resell or redistribute Service data without authorization
  • Engage in any activity that disrupts or interferes with the Service

5. Crawler Usage

Our crawler operates under these guidelines:

  • We only crawl domains explicitly added to your account
  • We respect robots.txt directives and crawl-delay specifications
  • We identify ourselves with a clear User-Agent string
  • We rate-limit requests to minimize impact on target servers
  • We do not crawl password-protected or login-required pages

You represent that you have authorization to crawl any domains you add to your account.

6. Subscription and Payment

Pricing: Current pricing is $99/month. Prices may change with 30 days notice.

Billing: Subscriptions are billed monthly in advance. Payments are processed by Stripe.

Cancellation: You may cancel at any time. Access continues until the end of your current billing period. We do not provide prorated refunds for partial months.

Free Trial: We may offer free trials at our discretion. Trial periods do not require payment information unless specified.

7. Intellectual Property

Our IP: The Service, including its design, features, and underlying technology, is owned by Needlepick. These Terms do not grant you any rights to our trademarks, logos, or branding.

Your Data: You retain ownership of data you provide and data we collect about your domains. We license your data solely to provide the Service.

Feedback: If you provide suggestions or feedback, we may use it without obligation to you.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT:

  • The Service will be uninterrupted or error-free
  • AI visibility data will be completely accurate or comprehensive
  • Insights will result in improved rankings or business outcomes

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEEDLEPICK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Termination

We may suspend or terminate your access if you violate these Terms or engage in activity that may harm the Service or other users. Upon termination, your right to use the Service ceases immediately.

12. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
